RA OF EARTH LLC MEMBERSHIP SERVICE AGREEMENT

This Membership Service Agreement ("Agreement") is entered into between Ra of Earth LLC ("Company," "we," "us," or "our") and the individual purchasing a membership or accessing services ("Member," "you," or "your"). By purchasing a membership, accessing, or using our website, courses, and related services (collectively, the "Services"), you agree to the following terms and conditions.

1. ACCEPTANCE OF TERMS

By purchasing a membership or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, do not use our Services.

2. NATURE OF SERVICES

Ra of Earth LLC provides instructional content, including but not limited to kriya practices, breathwork, movement exercises, meditation techniques, and related wellness teachings. These Services are for educational and informational purposes only and are not a substitute for professional medical or psychological advice.

3. HEALTH DISCLAIMER & LIABILITY WAIVER

A. Health Acknowledgment: You acknowledge that engaging in physical, breathwork, and meditative practices involves inherent risks, including but not limited to injury, discomfort, dizziness, or other physical or mental strain. You certify that you are in good health and do not have any conditions that would make participation in the Services dangerous or inappropriate for you.

B. No Medical Advice: The Services are not a substitute for medical diagnosis, treatment, or professional healthcare. Consult with a qualified healthcare provider before beginning any new exercise or wellness program.

C. Assumption of Risk & Release of Liability: To the fullest extent permitted by law, you knowingly and voluntarily assume all risks associated with participating in the Services and hereby release, waive, and discharge Ra of Earth LLC, its owners, associates, employees, contractors, affiliates, and agents from any and all liability, claims, demands, or causes of action arising out of your use of the Services, whether caused by negligence or otherwise.

D. Indemnification: You agree to indemnify and hold harmless Ra of Earth LLC and its affiliates from any claims, liabilities, damages, or expenses (including attorney fees) arising from your participation in the Services.

4. MEMBERSHIP TERMS & PAYMENT

A. Membership Access: Upon purchasing a membership, you will receive access to designated Services as outlined on our website. Access is granted on a subscription basis and is subject to compliance with this Agreement.

B. Payment & Auto-Renewal: Membership fees are billed automatically on a recurring basis (e.g., monthly or annually, as selected at checkout). By subscribing, you authorize Ra of Earth LLC to charge your provided payment method for each billing cycle. You may cancel at any time, but refunds will not be provided for partial billing cycles.

C. No Refunds: All payments are final. We do not provide refunds for unused portions of a membership term, except where required by law.

D. Account Termination: Ra of Earth LLC reserves the right to terminate or suspend access to any Member who violates this Agreement, including but not limited to misconduct, harassment, or misuse of content.

5. INTELLECTUAL PROPERTY & CONTENT USAGE

A. Ownership: All content, materials, videos, kriya instructions, meditations, and intellectual property provided by Ra of Earth LLC remain the exclusive property of Ra of Earth LLC.

B. Limited License: Members receive a limited, non-exclusive, non-transferable license to use the content for personal, non-commercial use. Redistribution, reproduction, modification, or public sharing of any content is strictly prohibited without prior written consent from Ra of Earth LLC.

C. Violation of Intellectual Property: Unauthorized use of our content may result in legal action, including but not limited to claims for damages, injunctive relief, and termination of access to Services.

6. DISCLAIMERS & LIMITATION OF LIABILITY

A. No Guarantees: We make no guarantees regarding specific results from using our Services. Individual experiences and outcomes may vary.

B. Limitation of Liability: To the fullest extent permitted by law, Ra of Earth LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of data, revenue, or profit, arising from your use of the Services.

7. DISPUTE RESOLUTION & GOVERNING LAW

A. Arbitration Agreement: Any dispute arising from or related to this Agreement shall be resolved through binding arbitration in the state of California, unless prohibited by law. By agreeing to arbitration, you waive the right to bring claims in a court of law or participate in a class action lawsuit.

B. Governing Law: This Agreement shall be governed and interpreted in accordance with the laws of the state of California, without regard to conflicts of law principles.

8. MODIFICATIONS TO AGREEMENT

Ra of Earth LLC reserves the right to update or modify this Agreement at any time. We will notify Members of significant changes, and continued use of the Services constitutes acceptance of the updated terms.
